This group will report to the Coun cil "its approval or disapproval, or any suggested modifieatons." Proposal 1 T h e following Amendment to the Con stitution
of
the
AMERICAN
CHEMICAL
SOCIETY is proposed b y t h e undersigned members in good standing in conformity with Article X I V of t h e Constitution. A. Article V shall be deleted in i t s en tirety a n d the following article shall be substituted : Article V, Council Section 1. T h e Council shall consist of t h e President, t h e President-Elect, the immediate P a s t President, t h e Chairman of t h e Board of Directors, t h e Secretary a n d Treasurer, all ex-officio^ and one Councilor or his a l t e r n a t e from each Local Section. The President a n d Secretary of t h e SOCIETY shall be t h e President and Secretary, respectively, of t h e Council. Section 2. A t Council meetings a n d in t h e various elections b y t h e Council, each Local Section Councilor or his alternate is empowered t o cast t h e n u m b e r of votes equal to t h e n u m b e r of members in good standing in his Local Section as of Decem ber 1 of t h e year preceding. All ex-ofncio members of the Council shall be nonvoting members, except t h a t t h e President may vote a t Council meetings i n case of a tie. Section 3. E a c h Local Section shall elect one Councilor a n d one alternate. I n the event of inability of a n y Local Section Councilor to exercise t h e functions of his office, his alternate shall a c t in his place. Section 4. A detailed description of the agenda of each Council meeting shall be sent to all Councilors a n d their alternates a n d to t h e Chairman a n d Secretary of each Local Section a t least six weeks in advance of t h e d a t e of s u c h meetings. Copies of all documents (exclusive of ballots) sent to Councilors shall b e sent to their alternates. Section 5. O n e or more regular meet ings of t h e Council shall b e held a t con venient times i n connection w i t h each gen eral meeting of t h e SOCIETY. T h e time of t h e first Council meeting a t a general meet ing shall be s e t by t h e program of the general meeting and t h e Council itself shall decide w h e t h e r further meetings are desirable a n d , if so, shall decide when they shall be held. of t h e Council a majority of the C -ouncilors or their alternates shall constitute a quorum. Special meetings may be called by t h e Board of Directors. Section 6. T h e Council shall act as an advisory body in m a t t e r s pertaining t o the general management or policy of the SOCIETY a n d shall also perform a n y other duties which may be prescribed in the Constitution or t h e Bylaws. B. The following changes shall he m a d e in Article VII : Section 2. T h e words " a n d to suggest up t o four members of t h e SOCIETY for Councilors-at-Large" and t h e words "and suggestions for four Councilors-at-Large" and t h e words "provided t h a t no name proposed for Councilors-at-Large shall be so included unless it has received t h e en dorsement of two or more Local Sections" shall be deleted. I n line 4, t h e words "these positions" shall be replaced by the words "this position". Section 3 . The word "nominees" shall be replaced by t h e word "nominee" and the words " a n d four Councilors-at-Large" shall be deleted. Section 4 . (a) T h e words "member of the Council" shall be replaced b y the words "Local Section Councilors". Section 4 (/>) shall be deleted in its en tirety. Section 5 (a). T h e word "Council" shall be replaced b y t h e words "Local Section Councilors". Section 5 (b) shall be deleted in its entirety. Section 5 (c). After t h e words " ( ' o u n cilors" insert the words " a n d their alter nates". Section 6. In line 13 t h e words "mem bers of the Council" shall be replaced by the words "Local Section Councilor". Section 10. In line 2 delete t h e words * 'and Divisions' '. Delete t h e last sentence in this section—"When a vacancy o c c u r s . . . next annual meeting." Section 1 1 . T h e Avoids "or eighth place for Councilors-at-Large" and t h e last sentence "If there be of the Council" shall be deleted. C. Section 3, Article V I I I , shall be deleted in i t s entirety a n d the following section substituted: T h e Council shall have a Council Policy Committee consisting of t h e President, the President-Elect, t h e immediate Past President, t h e C h a i r m a n of t h e Board of Directors, the Secretary, all ex-ofricio, a n d six Councilors, two t o be elected t o membership on said Committee each year for a term of three years b y ballot a t the a n n u a l meeting of the Council. T h e Editor of the Journal of the American Chemical Society, the Editor of Industrial and Engineering Chemistryr, and the Editor of Chemical Abstracts, shall serve as exofficio, nonvoting members of the Council Policy Committee. Ex-officio members of the Council shall n o t be eligible for election to t h e Committee. A Councilor elected to the Committee shall remain a Councilor JULY

during his term of office on t h e Committee. T h e Council Policy Committee s o consti-" t u t e d shall have full authority t o act ad interim for, and o n behalf of, the Council, shall serve in an advisory capacity in con nection with matters coming before t h e ( "ouncil, a n d shall exercise in addition t h e usual functions of an Executive Committee of t h e Council.
